1. Acceptance of Terms

By accessing, registering, or using the Vip Private Staff (VPS) website or platform (the “platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“the terms”) and all applicable laws and regulations. These Terms and Conditions constitute a legally binding agreement between you (“user”, “you”, or “your”) and VPS (“we”, “us”, or “our”).

You may use the platform solely in accordance with these Terms and Conditions, our Privacy Policy and any other applicable rules, policies or guidelines published by VPS. If you are accessing or using the platform on behalf of a company, organisation, or other legal entity, or on behalf of another person, such as acting as their representative, assistant, or agent, you represent and warrant that you are duly authorised to bind both yourself and the entity or person you represent to these Terms and Conditions. In such cases, all references to “you” and “your” shall refer to both you personally and the entity or person you represent.

If you do not agree with any part of these Terms and Conditions, you must not access or use the platform in any manner. VPS reserves the right, at its sole discretion, to deny access to, suspend, or terminate the accounts of any user who breaches or fails to comply with these Terms and Conditions, our policies, or any applicable laws. Such actions may be taken without prior notice, and VPS shall not be liable for any losses, damages, or inconveniences resulting from the suspension or termination of a user account.

2. Variation of Terms

VPS reserves the right, at its sole discretion, to modify, amend, or update these Terms and Conditions at any time. Any such changes shall take effect immediately upon posting on the platform or as otherwise indicated.

It is your responsibility to review these Terms and Conditions periodically to remain informed of any modifications. Your continued access to or use of the platform following the posting of any updates or modifications to these Terms and Conditions shall constitute your acceptance of such modifications. If you do not agree with the updated Terms and Conditions, you must cease using the platform immediately. It is your responsibility to regularly review the Terms and Conditions and to ensure your continued compliance.

VPS reserves the right, at its sole discretion, to deny access to, suspend, or terminate the accounts of any user who breaches or fails to comply with the updated or modified Terms and Conditions, our policies, or any applicable laws. Such actions may be taken without prior notice, and VPS shall not be liable for any losses, damages, or inconveniences resulting from the suspension or termination of a user account.

3. Eligibility

Access to and use of the platform is strictly limited to individuals who are at least 18 years of age. By using the platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts under applicable law.

Access to specific platform features may be subject to eligibility requirements, compliance with these Terms and Conditions, or successful completion of any registration, verification, or payment processes. VPS may also impose limits on usage to protect the platform, maintain service quality, or prevent abuse.

VPS reserves the right to limit or restrict access to certain features or areas of the platform at its sole discretion. This may include restricting access to certain features that are available only to specific user types, such as agencies, academies, families, or candidates, as defined by VPS. For the purposes of these terms:

• ● Candidate refers to an individual seeking employment opportunities, professional development, or access to training courses through the platform.
• ● Agency refers to a company or organisation that provides recruitment, staffing, or placement services and uses the platform to connect candidates with employment opportunities. In certain cases, agencies may also post specialised courses or training programmes on the platform, often designed to prepare candidates for real opportunities within private households.
• ● Academy refers to a company, institution or organisation that provides educational or training programmes and uses the platform to offer specialised courses, learning resources, or professional development opportunities. In certain cases, academies may also post job opportunities on the platform, often for roles directly connected to their trainning programmes or in partnership with employers or hiring organisations seeking qualified candidates.
• ● Family refers to an individual or household registering on the platform to find and hire candidates for personal and private employment purposes, including hiring for domestic staff or roles within family offices.

By registering for or using features restricted to these user types, you represent and warrant that you satisfy any eligibility requirements specified for that feature.

VPS reserves the right, at its sole discretion, to deny access, suspend, or terminate accounts of any users who do not meet the eligibility requirements or who provide false, inaccurate, or misleading information during registration or at any time while using the platform. Such actions may be taken without prior notice, and VPS shall not be liable for any losses, damages, or inconveniences resulting from the suspension or termination of a user account.

4. About the Platform and Services Provided

VPS operates as an online platform designed to connect candidates, agencies, academies, and families within the private staffing and training sectors for recruitment, educational and professional development purposes. The platform provides a professional environment where users can create profiles, post or apply for job and course opportunities, promote training programmes, and engage in networking and career development activities.

English is the main language of the platform. For the best experience and most accurate results—especially when using search tools or completing profiles—we recommend using English throughout. All dates and times displayed on the platform are based on the UK time zone (London time). All time-dependant functionality on the platform (including, but not limited to, package and membership durations, expirations, renewals, display periods, scheduled job and course postings, notifications and reminders, promotional offers and any other date or time-based functionality) is governed by and subject to the above time standard. Users are responsible for taking the applicable time zone into account when using, scheduling or purchasing time-sensitive features or services on the platform.

By registering on the platform and accepting these Terms and Conditions, users agree to receive emails related to their account activity, including alerts, notifications, newsletters, updates, promotional messages, and other communications intended to enhance the platform’s services and user experience. You may withdraw your consent at any time by following instructions provided in our communications or by contacting us directly. Please use the contact form available on the platform, selecting the “Customer Support” category.

VPS acts solely as a facilitator of information and interaction between users. We do not participate in, control, or guarantee any transactions, communications, engagements, or agreements that may occur between users. VPS does not act as an employment agency, recruitment agency, or training accreditor, nor do we vet, screen, or verify the identity, qualifications, background, or accuracy of information provided by any user or third party.
VPS aims to provide a secure and reliable digital space; however, the platform and its services are provided on an “as is” and “as available” basis and does not guarantee the accuracy, completeness, or reliability of any content or service available on the platform. Users should conduct their own checks and due diligence before engaging with others, as all use of the platform is at their own risk.

For Candidates
The platform provides candidates with tools to create professional profiles, search and apply for suitable job or course opportunities, and engage directly with prospective employers or educational providers.VPS acts solely as a facilitation platform and does not guarantee that employers will respond to applications or that any employment, placement or outcome will result.
Candidates are responsible for reviewing each posting carefully and submitting applications only when they genuinely meet all stated requirements, including eligibility and work permit criteria where applicable. Submitting mass or unsuitable applications may result in the suspension of the candidate’s account.
Candidates are responsible for any personal or sensitive information included in their CVs, reference letters, or job applications, including details related to families they have previously worked for. VPS does not assume liability for such information, and candidates should ensure that the privacy and security of others is respected when submitting materials through the platform.
A candidate account is intended solely for individual use and may not be used to promote, offer, or conduct staff agency or recruitment services. The misuse of the candidate account for unauthorised purposes, may result in the suspension or restriction of the candidate’s access to the platform.

For Employers and Course Providers (Agencies, Academies, and Families)
The platform provides employers and course providers with access to recruitment and engagement tools designed to help them advertise positions or courses, review candidate profiles, and manage applications efficiently. VPS acts as a facilitation platform only and cannot guarantee that job or course advertisements will receive applications, or that any applications received will come from suitably qualified or eligible candidates.
Users are encouraged to keep their job postings, course postings and applications up to date, and to update application statuses regularly to keep candidates informed and to ensure a smooth and efficient recruitment or enrolment process.
Employers and course providers are solely responsible for verifying candidates’ qualifications, experience, identity, eligibility to work or study, and for conducting any necessary interviews, reference checks, and legal or contractual arrangements, including the management of work permits and visas where required.
For security and confidentiality purposes, users must handle and process the personal data of candidates accessed through the platform strictly for the intended recruitment or enrolment purposes and in full compliance with applicable data protection and privacy laws. VPS does not verify or endorse candidate information and accepts no liability for the accuracy, completeness, or suitability of candidate profiles or materials.
Users must not use the platform to contact or interact with candidates for general recruitment/enrolment purposes or to offer agency/academy services; all communications and postings must relate to a specific job vacancy or course. Users must not access or use candidate accounts for the purpose of offering, advertising or promoting services to families. Editing an existing job or course posting to represent a different position or programme is strictly prohibited; any new opportunity must be posted as a separate posting.VPS reserves the right to suspend or restrict access to accounts that do not comply with these rules. Employers and course providers acknowledge that multiple agencies or providers may advertise the same position or similar courses simultaneously and that VPS does not guarantee exclusivity or control over such multiple postings.

VPS reserves the right, at its sole discretion, to modify, suspend, withdraw, or discontinue any part of the platform or any service offered through it at any time, temporarily or permanently, with or without prior notice. Such modifications may include changes to functionality, design, or access to certain services. The platform may periodically introduce new functionalities or update existing ones to improve user experience or comply with legal or technical requirements. Continued use of the platform following such updates constitutes acceptance of any changes made.

VPS does not guarantee uninterrupted access or error-free operation, and temporary unavailability may occur due to maintenance, updates, system improvements, technical issues, or other operational reasons beyond our control. VPS will make reasonable efforts to minimise disruption and restore services promptly, and users are encouraged to report any errors, malfunctions, or issues they encounter on the platform so that they can be addressed as quickly as possible.

VPS does not guarantee that the platform or any content on it is free from bugs, viruses, or other harmful components. Users are responsible for implementing and maintaining appropriate virus protection and security measures on their devices, and should take all reasonable steps to protect their devices, accounts, and personal information from malware, phishing, or other security risks when accessing or using the platform. We are not liable for any loss, damage or unauthorised access resulting from any security breaches.

VPS reserves the right, at its sole discretion and without prior notice, to suspend, withdraw, remove, or discontinue publishing the platform or any part of its content at any time. VPS does not guarantee that the platform or any content will be continuously available, and users acknowledge that access may be interrupted, limited, or terminated.

Users acknowledge and agree that in the event of any modification, suspension, withdrawal, discontinuation, or temporary unavailability of the platform or any of its content or services, including any of the circumstances described above, they shall not be entitled to any compensation or reimbursement. VPS shall not be liable for any loss, damage, or inconvenience arising from such events, whether direct, indirect, or consequential.

Users may delete their accounts at any time by following the account cancellation process available on the platform. When you choose to delete your account, all content you have submitted or created on the VPS platform will be permanently removed. This includes your profile, posts, applications, and any other data associated with your account. Once your account is deleted, you will no longer receive emails, notifications, or any other communication from VPS. Cancellation will not affect any obligations incurred prior to termination, including payment obligations for any memberships, packages, or services, and no refunds will be issued for unused time or unclaimed benefits.

5. Account Registration and Security

In order to access certain features of the platform, you are required to register for an account. When registering, you agree to provide accurate, current, and complete information about yourself and to maintain and promptly update such information to ensure its accuracy.

VPS reserves the right, at its sole discretion, to refuse any application to register on the platform for any reason, including but not limited to: if the platform is at capacity, if the information provided is incomplete, inaccurate, or misleading, if the applicant does not meet eligibility requirements, or if registration is deemed otherwise inappropriate or incompatible with the platform’s purpose and standards. VPS is not required to provide a reason or notice for refusing registration, although it may do so at its discretion.

Users may hold only one account of each type and must not share login credentials between accounts or with other users.VPS reserves the right to suspend or terminate any account that fails to comply with these requirements.

Candidates may hold one candidate account for their personal use. However, if a candidate also operates a staff agency or assists another person or family in recruiting candidates, they are required to create a separate agency or family account for that purpose, using a different email address from the one associated with their candidate account.

Agencies and academies operating under a franchise or group structure must register a separate account with a different email address for each franchisee or branch. Each account must accurately represent the specific franchisee’s details and activities and operate independently within the platform. VPS reserves the right to suspend or remove accounts that fail to comply with this requirement or that misrepresent their organisational structure.

Families may hold one family account per household. Each account must be registered under a unique email address. Where a family or individual manages recruitment activities for another household or family office, a separate account must be created for that purpose.

You are solely responsible for safeguarding your account credentials, including your username and password, and for all activities that occur under your account. You agree to notify VPS immediately of any unauthorised use of your account or any other security breach. VPS shall not be liable for any loss or damage arising from your failure to comply with these obligations. You may not share your account credentials with any third party or permit any third party to access the platform using your account. VPS reserves the right to suspend or terminate any account suspected of unauthorised use or breach of these terms.

6. User Obligations and Conduct

Access to services and features will commence once successful registration to the platform is completed. From that moment, you agree to use the platform responsibly, ethically and in compliance with all applicable laws and regulations. You are solely responsible for all activities that occur under your account, your interactions with other users and all content you upload, submit, or otherwise make available on the platform.
Users are expected to act with honesty, professionalism, and respect at all times when using the platform. Your conduct must reflect the values of fairness, safety, and integrity that VPS promotes across its community. The following rules are intended to help maintain a positive, safe and trustworthy environment for all users, but they are not exhaustive. You are expected to exercise good judgment and comply with all reasonable standards of behaviour, even if not specifically mentioned below.

Users must:

• ● Use the platform only for its intended purposes and in accordance with the Terms and Conditions.
• ● Ensure that your use of the platform, its services, and features is lawful, ethical, and designed to promote a safe, respectful, and trustworthy environment for all users.
• ● Use the platform responsibly and in a manner that does not disrupt, overload, damage, or impair its operation or the experience of other users.
• ● Use the platform’s communication tools and features solely for legitimate recruitment, educational, or professional networking purposes consistent with your account type.
• ● Ensure that your use of the platform complies with all applicable laws and regulations, including those relating to employment, data protection, privacy, and intellectual property.
• ● Ensure that all information you submit to the platform, whether at registration or at any time thereafter, is accurate, truthful, and up to date at all times.
• ● Treat all users with respect, courtesy, and professionalism, avoiding any behaviour that could be considered harassing, discriminatory, defamatory, or offensive.
• ● Uphold the reputation, integrity, and purpose of VPS by engaging honestly and professionally at all times.
• ● Act in good faith in all interactions, agreements, and transactions initiated through the platform.
• ● Maintain the confidentiality of any personal, sensitive, or confidential data obtained through the platform and use it solely for its intended purpose.
• ● Ensure that you respect the privacy and confidentiality of other users and do not disclose personal or sensitive information without proper consent.
• ● Respect the intellectual property rights of VPS and other users, including trademarks, logos, designs, written content, and proprietary materials.
• ● Respect all platform moderation decisions and requests from VPS, including requests to amend or remove content.
• ● Cooperate fully with VPS in any investigation, account verification, moderation review, or security process.
• ● Promptly report to VPS any technical issue, security vulnerability, inappropriate behaviour or suspected misuse of the platform.

Users are prohibited from engaging in any actions or behaviours that could harm, disrupt, or undermine the platform, its users, or the integrity of its services. The following rules set out actions and behaviours that users must not engage in while using the platform. Compliance with these prohibitions is required to maintain a safe, fair, and trustworthy environment for all users.
These rules are not exhaustive, and you are expected to exercise good judgment, common sense, and professional ethics at all times and comply with generally accepted standards of behaviour that promote safety, fairness, and respect within the platform, even if such standards are not specifically listed below.

Users must not:

• ● Use the platform for any unlawful, fraudulent, misleading, or unethical purpose, or in connection with any unlawful, fraudulent, misleading, or unethical activity.
• ● Impersonate any person, entity, or organisation, or misrepresent your affiliation with any individual or group.
• ● Attempt to access or interfere with other users’ accounts, data, or the platform’s systems without proper authorisation.
• ● Circumvent any limitations or restrictions imposed by VPS, including account type restrictions, eligibility criteria, or the prohibition on sharing or transferring your account.
• ● Post, submit, or share content that is obscene, offensive, defamatory, violent, or otherwise inappropriate.
• ● Submit to the platform, share, or otherwise communicate to VPS or other users any information that is false, misleading, deceptive, or fraudulent.
• ● Engage in any behaviour that harasses, threatens, intimidates, or discriminates against other users.
• ● Misuse the platform’s tools, such as reporting systems, ratings, or messaging, to harm or inconvenience other users.
• ● Take any action that could compromise the integrity, reputation, or proper functioning of the platform.
• ● Use the platform in a way that violates intellectual property rights, privacy rights, or any applicable laws.
• ● Reproduce, copy, sell, resell, or exploit any part of the platform or its content for commercial or marketing purposes without express permission from VPS.
• ● Send spam, promotional materials, or other communications to users who have not consented to receive them.
• ● Use the platform in any unauthorised manner that may cause damage, disrupt its normal operation or performance, or attempt to bypass its security measures or access controls.
• ● Upload, distribute, or share any content that contains viruses, malware, spyware, Trojan horses, worms, or any other harmful code, software, or programs that could damage, disrupt, or impair the platform, its users, or any devices or systems accessing the platform.
• ● Engage in any other conduct that VPS reasonably considers inappropriate or harmful to the platform or its community.

VPS reserves the right to monitor compliance with these obligations and to take appropriate action in the event of any non-compliance including suspending or terminating accounts, removing content, or restricting access to certain features. Users acknowledge that cases of misconduct or failure to comply with these obligations may result in legal liability and other consequences under applicable law.

7. User-Generated Content

User-generated content refers to any content, material or information that a user submits, posts, uploads, transmits, or otherwise makes available on or through the platform. This includes, without limitation, profile information, CVs, job and course postings, applications, messages and correspondence, reviews and endorsements, images, photographs, audio, video, links, comments, metadata and any other text, files or materials contributed by users and shared or transmitted through the platform.

By creating an account and uploading, submitting or publishing any content on the platform, you grant us permission to use, store, display, reproduce and distribute such content for the purpose of operating and promoting the services provided through the platform. This includes, but is not limited to, displaying your content on the platform, sharing it with other authorised users and including it in email alerts, notifications, recommendations or similar communications related to the platform's services. You confirm that you have the necessary rights and permissions to upload such content and that its use by the platform in accordance to these Terms and Conditions does not infringe the rights of any third party.

Users retain full ownership of their user-generated content. However, by uploading, posting, or otherwise making such content available on the platform, you grant VPS a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable licence to use, host, store, reproduce, modify, adapt, publish, translate, distribute, display, and make such content available to third parties for the purposes of operating, promoting, and improving the platform and its related services. This includes sub-licensing to VPS partners or service providers for purposes such as hosting, technical support, marketing, or other activities necessary to operate and maintain the platform. This licence continues for as long as the content remains available on the platform or as required for legitimate business, legal, or operational purposes after removal.

VPS does not claim ownership of any user-generated content submitted, uploaded, or shared through the platform. The platform is provided as a networking and service tool, but VPS does not pre-approve, endorse or verify any user-generated content. You remain solely responsible for the accuracy, legality, reliability, and appropriateness of all content you provide. By submitting content, you represent and warrant that you hold all necessary rights, licences, and permissions to grant the licence described above and that your content does not infringe or violate the rights of any third party or any applicable law.

In the event that a third party asserts that any user-generated content violates their intellectual property rights, privacy rights, or any other legal rights, VPS reserves the right to disclose the identity and contact details of the user who submitted such content, to the extent permitted by law, in order to facilitate the resolution of the claim. VPS shall not be liable for any such disclosure or for any content submitted by users, and users agree to indemnify VPS against any claims, losses, or damages arising from their user-generated content.

Users must ensure that whenever they upload, submit and share content to the platform or interact with other users, they do so in a lawful, ethical, and responsible manner. The following guidelines outline the types of content and behaviour that are required or prohibited to maintain a safe, fair, and trustworthy environment for all users. These rules are not exhaustive, and users are expected to exercise good judgment, respect the rights of others, and adhere to generally accepted standards of conduct even if such standards are not specifically listed below.

What users must do:

• ● Provide content that is relevant to the intended use of the platform (e.g. profiles, CV’s, postings, or services).
• ● Ensure that all content they upload, submit, or share is truthful, accurate, and not misleading.
• ● Use clear, professional, and respectful language in all content uploaded or shared on the platform, avoiding offensive, abusive, discriminatory, or inappropriate expressions.
• ● Keep their content up to date and reflective of their true services, qualifications, or offerings.
• ● Ensure all content uploaded or shared on the platform is lawful and complies with all applicable laws, regulations, and legal requirements.
• ● Obtain any necessary permissions, rights, or licences for materials they upload, including text, images, videos, or other media.
• ● Respect the privacy, confidentiality, and intellectual property rights of other users and third parties.
• ● Clearly indicate the source of any third-party content, and avoid presenting it as their own work.
• ● Ensure that content is appropriate for the platform, avoiding material that could be considered offensive, discriminatory, or harmful.
• ● Promptly report any content or behaviour that appears unlawful, harmful, or in violation of these Terms and Conditions.

What users must not do:

• ● Upload content that is unrelated, irrelevant, or not aligned with the intended purposes of the platform.
• ● Impersonate another user or create content on behalf of someone else without proper authorisation.
• ● Upload, post, or share content that contains false, misleading, or deceptive information, including inaccurate details in profiles, postings, or other submissions.
• ● Upload, post, or transmit content that is unlawful, defamatory, obscene, offensive, disrespectful to other users, or otherwise inappropriate.
• ● Include content that promotes discrimination, harassment, or bias based on race, gender, religion, nationality, disability, sexual orientation, or age.
• ● Infringe any copyright, trademark, or other proprietary rights of VPS, other users, or third parties.
• ● Share confidential or sensitive content that violates the privacy or confidentiality of other users or third parties without their consent.
• ● Upload content that could encourage illegal activity or poses a risk to the safety of others.
• ● Use offensive, abusive, discriminatory, or otherwise inappropriate language in any content uploaded, shared, or communicated through the platform.
• ● Use the platform to distribute content that is unsolicited advertising, spam, or promotional materials.

VPS reserves the right, at its sole discretion, to review, monitor, edit, remove, or restrict access to any user-generated content that it considers to be in breach of these Terms and Conditions, applicable law, or the rights of any third party, without prior notice or liability. Users acknowledge that VPS cannot guarantee the continued availability, accuracy, or integrity of any content uploaded to the platform, and that content may be removed or modified at any time as part of moderation, maintenance, or policy enforcement.
VPS does not endorse, verify, or assume responsibility for any user-generated content and shall not be held liable for any loss, damage, or harm arising from such content or from its removal. Users will be solely responsible and liable for any loss, damage, or expense suffered by VPS as a result of any breach of these Terms and Conditions or misuse of the platform.

8. Fees, Subscriptions and Payments

VPS offers a range of paid memberships, packages, and premium services that provide access to enhanced features and resources, visibility, or other benefits on the platform. These paid services may include, for example, the ability to post or promote job listings and courses, access candidate profiles or the CV database, feature profiles, or unlock additional communication and management features.
VPS reserves the right to limit or restrict access to certain features or areas of the platform at its sole discretion. This may include restricting access to features that require a paid membership, package, or premium service.
Memberships are available to Agencies, Academies, and Families (employers and course providers), while packages and premium services may be purchased by all users, including Candidates, to enhance their visibility, participation, or access to certain features. The specific benefits, duration, pricing and applicable conditions of any membership, package or paid service will be as described on the platform at the time of purchase.

VPS reserves the right to introduce new packages, memberships or premium features, or modify, suspend, or discontinue existing ones, including their features, duration, and pricing, either temporarily or permanently, without prior notice and without liability to users. Changes will apply to new purchases and renewals but will not affect active services already purchased and confirmed unless required by law or for legitimate business, security, or operational reasons. VPS further reserves the right to limit the availability of certain services to specific user types or regions where appropriate.

By subscribing to or purchasing any paid service, you agree to pay all applicable fees and charges in accordance with these Terms and Conditions and any relevant pricing, billing, and refund policies published by VPS. All purchases are subject to these Terms and Conditions and to any additional terms displayed at the point of sale, and users are responsible for reviewing and complying with them. In the event of an error in pricing or service description, VPS reserves the right to cancel or refuse any purchase made under incorrect terms, even if payment has been processed. Any amounts paid in error will be refunded.

All fees for memberships, packages or premium services must be paid in advance and in full, in pounds sterling (£ GBP) unless otherwise specified, and in accordance with the instructions provided on the platform. Users are responsible for any currency conversion fees or exchange rate differences charged by their payment providers. All fees are exclusive of any applicable taxes, duties, or transaction charges, users are responsible for paying any such amounts as required by law in their jurisdiction. Paid services will commence as soon as VPS has confirmed that payment has been successfully received and processed.

All payments for memberships, packages, or premium services are due at the time of purchase, unless otherwise specified on the platform. By completing a purchase, you authorise VPS and its payment processors to charge the applicable fees to your chosen payment method. Payments are processed securely by trusted third-party payment providers. VPS does not store or have access to users’ complete payment details and is not liable for any errors, delays, or security breaches arising from the use of such external payment systems.

By purchasing a membership, package, or premium service, you are granted a limited, non-exclusive, non-transferable right to access and use the features, services, and benefits associated with that subscription or package for the duration of the paid period. These rights are personal to you and are conditional upon your compliance with these Terms and Conditions and any specific conditions associated with the subscription or package.

All paid services are personal to the account holder and may not be shared, sub-licensed, or transferred to any other user or entity, or used for any purpose other than that for which they were purchased. Any unauthorised transfer, sharing, or resale may result in immediate suspension or termination of the account without refund. Users may not attempt to bypass VPS’s payment systems or engage directly with other users to avoid applicable platform fees. Such behaviour may result in account suspension or termination without refund. VPS reserves the right to delay or withhold activation of any paid service if fraudulent or suspicious activity is detected, or if user verification is required.

VPS does not guarantee that the purchase or use of any membership, package, or premium service will lead to any specific result, engagement, or business outcome. The effectiveness of such services depends on multiple factors beyond VPS’s control, including user activity, content quality, and market demand. To the maximum extent permitted by law, VPS shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use any paid service, including loss of profits, data, or opportunities.

Unless otherwise specified, all memberships (except for Gold and Diamond memberships), packages, or premium services will remain active for the duration specified at the time of purchase and will expire automatically at the end of that period. Users may purchase a new membership, package or service to renew their access once the previous one expires.

However, Gold and Diamond memberships are subscription-based and will automatically renew at the end of each subscription period to ensure uninterrupted access, subject to the then-current fees and terms. By providing card details, future payments are authorized to be securely charged to the selected payment method for this purpose. Where automatic renewal applies, you will be notified in advance, and your account will be charged using the payment method on file (the one you used when you first purchased your membership) unless you cancel your subscription before the renewal date.

You are solely responsible for managing your own subscriptions, which can be accessed and controlled via the main dashboard of your account. Cancellations must be made before the next renewal date. Failure to cancel on time will result in the next billing cycle being charged, and no refunds will be issued for late cancellations. You may reactivate your subscription again at any time through the main dashboard of your account.

Users are responsible for maintaining accurate and up-to-date payment information and ensuring that any automatic payment methods remain valid. VPS reserves the right to suspend or restrict access to any paid service and associated platform access if payment is not received timely or if a payment method is declined, blocked, or otherwise fails, or if there is any other issue with payment authorisation.

All fees for memberships, packages, or premium services are non-refundable, in whole or in part, under any circumstances, including where paid services are suspended, terminated, or remain unused before the end of the applicable billing cycle, unless otherwise stated. Once a paid service, membership, or subscription period has commenced, no partial or full refunds will be issued for unused time or unclaimed benefits.

With respect to subscription memberships (Gold and Diamond), you may cancel your subscription or package at any time, but cancellation will only prevent future billing and will not entitle you to a refund for the current or previous billing periods. Gold and Diamond subscription memberships will continue until the end of the current billing cycle even after cancellation. To avoid being charged for the next cycle, you must cancel before the next renewal date.
If you delete your account while you have an active membership subscription, it will be automatically cancelled and you will not be charged for any future membership renewals. However, no refund will be provided for any unused time remaining on your membership or for any unused features or benefits.

If a user account is suspended, terminated, or deleted for any reason, access to any active membership, package, or premium service may also be disabled without refund. VPS shall have no obligation to store, maintain, or provide access to any data or content associated with a terminated account.

VPS reserves the right, at its sole discretion, to modify, restrict, suspend, or discontinue any feature, benefit, or service associated with a subscription or package, including temporarily or permanently, without prior notice. No partial or full refunds will be issued for changes to the services provided and VPS shall not be liable for any losses, damages, or inconvenience resulting from such modifications, restrictions, suspensions, or discontinuations. Your continued use of the platform, memberships, packages, or premium services following any such modifications or interruptions constitutes your acceptance of these changes.

Access to subscriptions, packages, or premium services may also be temporarily unavailable due to maintenance, technical issues, or other operational reasons and no refunds, whether full or partial, will be issued for any period of unavailability. VPS will make reasonable efforts to minimise disruption and restore services promptly, but is not liable for any losses, damages, or inconvenience arising from modifications or temporary unavailability of the services.

Users are responsible for reviewing all charges associated with their memberships, packages, and premium services. If you believe a charge is incorrect or have a dispute regarding a payment, you must contact VPS promptly using the contact form available on the platform and selecting the “Packages, orders and payments" category. The dispute must be raised within 30 days from the date of the transaction, and failure to notify VPS within this period will constitute a waiver of any claims or rights to dispute the charge.

All payments are monitored for fraud prevention and verification purposes and if fraudulent activity is suspected, the incident will be reported to relevant payment processors or authorities.

You agree not to initiate chargebacks or payment reversals, or similar disputes through your bank, credit card provider, or payment processor without first attempting to resolve the matter directly with VPS. Initiating a chargeback without prior written notice and a good-faith effort to resolve the issue constitutes a breach of these Terms and Conditions.
If a chargeback, reversal, or payment dispute is initiated without valid grounds, it may result in immediate suspension or termination of your account and services, without refunds, until the matter is resolved.
VPS reserves the right to challenge any chargeback or reversal and to provide evidence of the transaction and the user’s acceptance of these Terms and Conditions. Users agree to cooperate fully with any investigation related to dispute or reverse charges. VPS reserves the right to recover any amounts owed, including fees, losses, or damages incurred as a result of a chargeback or disputed payment. Users will remain liable for the full amount of the disputed charge and any associated costs, including collection costs or legal fees.

Nothing in this section limits VPS’s right to suspend or terminate access to services for non-payment or breach of these Terms and Conditions and unauthorised chargebacks or reversals will not relieve the user of their obligation to pay for services rendered or purchased.

9. Termination and Suspension

VPS reserves the right to suspend, restrict or terminate any user account, access to the platform, or any paid services at any time, at its sole discretion, for any reason, including but not limited to breach of these Terms and Conditions, unlawful or abusive conduct, or activities that threaten the security, integrity, or operation of the platform.
Suspension may be temporary or permanent and may occur with or without previous notice, depending on the severity and nature of the conduct. Users acknowledge that VPS is not obligated to provide warnings or explanations before taking such action.

Upon suspension or termination, users will immediately lose access to their account, content, and any paid services associated with that account and no refunds will be issued for unused periods. VPS will not be liable for any losses, damages, or inconvenience resulting from such suspension or termination, including the loss of data, content, or access to services. VPS will not be responsible for any consequences affecting interactions, contracts, or communications with other users or third parties resulting from the termination or suspension of your account.

Users remain responsible for any outstanding fees, charges, or obligations incurred prior to termination or suspension and certain information or content may be retained as necessary for legal, regulatory, or operational purposes, even after the account has been terminated.

Users must not attempt to circumvent such suspension or termination. Any actions intended to bypass restrictions may result in further suspension or permanent termination of access to the platform.

VPS reserves the right to implement technical measures to restrict access to the platform in cases of account suspension or termination, which may include blocking IP addresses or other methods of preventing unauthorised access. Furthermore, VPS may take any additional actions it deems necessary to protect the platform, its users, or its interests, including pursuing legal remedies.

VPS reserves the right to edit, remove, or restrict access to any user details, content, or account information as necessary to enforce these Terms and Conditions, comply with applicable law, or protect the platform and its users.

10. Intellectual Property Rights

All content, materials, designs, software, graphics, logos, trademarks, trade names, and other intellectual property displayed or available on the platform (collectively, “platform content”) are owned or licensed by VPS and are protected by applicable intellectual property laws. Users acknowledge and agree that nothing in these Terms and Conditions grants them ownership of any platform content or any intellectual property rights in it, except for the limited rights expressly set out in these Terms and Conditions.

The platform facilitates interactions between users but does not vet, monitor, or verify the identity, qualifications, background, or accuracy of information shared by any user, including candidates, agencies, families and academies. (b) one hundred pounds sterling (£100).

Any claim against VPS must be brought within twelve (12) months from the date of the event giving rise to the claim.
Nothing in these terms shall limit or exclude any liability that cannot be lawfully limited or excluded under applicable law.

The invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to render it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.

VPS reserves the right to replace any invalid, illegal, or unenforceable provision with a valid provision that most closely reflects the original intent purpose and economic effect of the invalid, illegal, or unenforceable provision.

15. Governing Law and Jurisdiction

These Terms and Conditions and any disputes or claims arising out of or in connection with them, the platform, or the use of the platform (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any disputes, claims, or legal proceedings arising from or in connection with these Terms and Conditions or your use of the platform.

Notwithstanding the foregoing, VPS reserves the right to seek injunctive or other equitable relief in any competent court, in any jurisdiction, including outside England and Wales, where such action is necessary to protect its intellectual property rights, confidential information, or other legitimate business interests.

Nothing in this clause shall grant users the right to bring proceedings in any jurisdiction other than England and Wales. Users irrevocably agree to submit to this jurisdiction and waive any objection to proceedings being brought in these courts.

16. Assignment
